Terms of Service

Welcome to TerrierPay. These Terms of Service ("Terms") govern your use of the TerrierPay website, applications, and services (the "Service"), operated by TSN, Inc. ("TerrierPay," "we," "us"). By using the Service, you agree to these Terms.

1. What TerrierPay Does

TerrierPay lets you create invoices, send them to your clients, and schedule automated payment reminder emails. TerrierPay is a tool, we are not a party to any agreement between you and your clients, we do not process or hold payments between you and your clients, and we do not guarantee that any invoice will be paid.

2. Your Account

You must provide accurate information when creating an account and keep your credentials secure. You are responsible for all activity under your account. You must be at least 18 years old and able to form a binding contract to use the Service.

3. Your Content

You retain full ownership of everything you put into TerrierPay, your business information, logos, invoice details, client information, and any email copy you write or edit ("Your Content"). You grant us a limited license to host, store, process, transmit, and display Your Content solely to operate the Service (for example, generating your PDF, hosting your pay page, and sending your reminder emails).

You represent that you have the right to use Your Content, including the right to contact the client email addresses you provide.

4. Sending Email Through TerrierPay

TerrierPay sends invoices and payment reminders to your clients on your behalf and at your direction. You agree that you will:

  • only send invoices and reminders related to genuine business transactions with recipients you have a business relationship with;
  • not use the Service to send unsolicited bulk email, marketing spam, harassment, or threats;
  • comply with applicable law, including the CAN-SPAM Act and any equivalent laws where your recipients are located;
  • honor any recipient's request to stop receiving messages.

We may suspend sending, or your account, if your use generates spam complaints, bounces at abnormal rates, or otherwise threatens our ability to deliver email for all users.

5. AI-Generated Content

Some reminder emails are drafted by an artificial intelligence model using details you provide (client name, amount, days overdue, tone). AI-generated drafts are suggestions. You are responsible for the content of every email sent from your account, including AI-drafted emails you allow to send automatically. You can preview and edit any scheduled email before it sends.

6. Plans, Billing, and Cancellation

The free plan includes a limited number of invoices per month. Paid subscriptions are billed monthly in advance through our payment processor (Stripe) and renew automatically until canceled. You can cancel anytime from your billing settings; cancellation takes effect at the end of the current billing period. Except where required by law, payments are non-refundable. We may change pricing with at least 30 days' notice.

7. Intellectual Property & Copyright

The Service, including its software, design, text, graphics, logos, and the TerrierPay name, is owned by TSN, Inc. or its licensors and is protected by copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service for your own business purposes. You may not copy, modify, resell, reverse engineer, scrape, or create derivative works from the Service, except as permitted by law.

Invoice PDFs you generate with your own content are yours to use freely.

8. Copyright Complaints (DMCA)

We respect the intellectual property rights of others. If you believe content on the Service infringes your copyright, send a notice to our designated agent at legal@terrierpay.com including: (1) identification of the copyrighted work; (2) identification and location of the allegedly infringing material; (3) your contact information; (4) a statement that you have a good-faith belief the use is not authorized; (5) a statement, under penalty of perjury, that the information is accurate and you are authorized to act for the copyright owner; and (6) your physical or electronic signature. We will respond to valid notices, which may include removing the material or terminating repeat infringers' accounts.

9. Acceptable Use

You may not use the Service to: violate any law; infringe others' rights; send fraudulent invoices or invoices for transactions that did not occur; impersonate any person or business; transmit malware; or attempt to access other users' data or disrupt the Service.

10. Disclaimers

The Service is provided "as is" and "as available." We do not warrant that the Service will be uninterrupted, error-free, or that emails will be delivered or read. TerrierPay does not provide legal, financial, accounting, or debt-collection advice; late-fee calculations and email templates are informational only, and you are responsible for ensuring your invoicing practices comply with the laws that apply to you.

11. Limitation of Liability

To the maximum extent permitted by law, TSN, Inc. will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or data. Our total liability for any claim relating to the Service is limited to the amounts you paid us in the twelve (12) months before the claim arose, or $100, whichever is greater.

12. Indemnification

You agree to indemnify and hold us harmless from claims arising out of Your Content, your use of the Service, or your violation of these Terms, including claims by your clients relating to invoices or emails sent through your account.

13. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate accounts that violate these Terms. Upon termination, your right to use the Service ends; sections that by their nature should survive (ownership, disclaimers, liability limits, indemnification) survive.

14. Changes to These Terms

We may update these Terms from time to time. If changes are material, we will notify you by email or in-app notice before they take effect. Continued use after the effective date constitutes acceptance.

15. Governing Law

These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict-of-law rules. Any disputes will be resolved in the state or federal courts located in Massachusetts.
